System definition – system represents all types of software, website, emailer, mobile app, video, video management app, video listing app, video and live classes app, yogpath business management system, yogpath certification and instate, all mode of delivery of content, message and information to any kind of business user, end user, internal staff, government entity, private and public view and express of media is collectively represent as system, hereafter it can be referred as system or platform or wellness platform or wellness system.
1. Any service providers/ content providers/ creative and art service providers or supplier of goods / services (whether an individual, professional or an entity, or similar institution) on the Platform. These can be either directly or indirectly, including designated / authorised associates, employees, partners and practitioners thereof (“Partner”, “You”, “Your” , “User” or “Users”);
2. An individual who accesses and registers on the Platform and/or places a service request on the Platform (“End-User”, “You”, “Your” or “Users”); or
3. Any other user, accessing the platform by own device, Machine to Machine communication or machine to Human communication on wellness platform. (“You” “Your” or “Users”).
Type of Services – Wellness Platform
1. The user using our wellness platform acknowledge that the Platform is a web service that allows You to avail services / buy any products, content, physical articles, advice, communication material, information, and educational material, directly from the Company as well as from various Partners. Some of the services (collectively, the “Services”) and products (collectively, the “Products”) available on the Platform and provided by Company / Partners are listed below:
a. Yoga classes online, Yoga Classes off line, Yoga classes on our partner studio, Wellness content Membership, physical and mental fitness centre memberships / classes and allied services (“Wellness Services”) provided by Yogpath Wellness Private Limited and its Business associates ( partner, vendor, franchisees, government entity, Advisory board Members and other)
b. Memberships package sold by Yogpath Wellness Private Limited granting access to various underlying services (“Wellness Services”) from third-party Wellness platform, wellness center, GYM, Spa, Yoga Center, Video studios, Production House, Physical training centres, online training application platform etc;
c. Happiness Coach Certificate from Yogpath Happiness Institute (“Happiness Certificated Coach”)
d. Booking and appointments with Testing Lab, Medical Practitioner, Wellness Coach, Happiness Coach, Wellness Platform Coach, registered medical professional, whether an individual professional or through an organization , group, branches, multiple office employee or similar institutions for physical / in-person and tele-consultations and diagnostic services;
e. Purchase of any apparel, accessories, yoga Props, Ayurveda Medicine, Allopathic Medicine, Dietary plan and supplements pre-packaged/prepared/cooked food and beverage items sold by various Business partners listed on wellness Platform’s online marketplace, mobile app, desktop application, WhatsApp Chatbot, and original merchandise such as clothing, footwear and accessories from various fashion and lifestyle brands over platform;
f. Single session / subscription based digital services / products on the Platform, like recorded audio and / or video content, real time on-line training services, as provided by or featuring Partners and / or their associates.
g. Yogpath Membership / subscriptions based for partner network or personal network for single session/ multiple session in digital delivery form or physical studio visit. This include booking and appointment fixing for live classes, fitness studio session, yoga session, Wellness Session, lab and Sample collection services, audio content, video content on any mode of delivery.
h. Creator services / Contributor services and reproduction of contributor material , procurement of services, advice and consultancy from contributor, Instructor, Yoga guru, wellness coach, happiness coach, happiness certification, mental health services, Corporate service for mental healing, consumption of data and content for the purpose of commercial or non commercial uses.
Unless specified, your services agreement is valid for all services from wellness platform as per this documents only. However payment terms, refund terms, service delivery terms will be govern by each and every service individually and hence , those terms and condition of refund, payment, delivery etc mentioned on your invoice / quotation / service agreement.
For digital delivery services like Wellness platform video, Audio, Images, Article and contents, Therapy video, Wellness and Mental health video, Procedure and Process of Wellness, Happiness Coach video, Video and audio delivery of any other content, come with non-refundable payment in all case.
Offers , discount and Pricing Policies
Wellness Platform price, offer and discount polices depend on several third party and there offering, so each prices and offers are subject to the available discount, offer and prices from either directly from the wellness platform or from our third party partner network. Wellness platform not responsible for any additional discount or offer that is run by our partner in any other platform or own website, store, or studio. The discount and price are applied as per wellness platform listed prices and discount offed by them on our platform. In the case when wellness platform run any special discount or offer that is available for anyone, it is also classified where it can be used, hence read carefully and when you buy using such offers, You, agree with the terms of that particulars offers and hence even without any specific information you are abide by the terms of services.
Fair uses policy
Wellness platform operated by yogpath , assume that user will not misuse the system in any manner while using, this can include several under mentioned terms and other terms of standard fair uses policy that not mentioned in the document.
A – You must abide by the terms of fair use policy and access the information accordingly only.
B- For unlimited access of contents, you must be aware that content use of unlimited is meant that, you can access and view the content online using our platform with maximum number of users allowed to view and use the system at one point of time. In any case you are not entitled to distribute, reproduce, share, copy and damage those contents for the purpose of commercial, non-commercial, or research-based activity of your educational or other purpose. The unlimited access also not allow to download the video / audio / text / images or any other digital asset unless it is clearly mentioned that the content is available for offline view.
C- While inputting information you must not try to put any kind of trojan, virus or any inappropriate contents by any mean of inputting the data in wellness platform.
D- The Slot based booking of our partner service govern by the additional fair uses policy, hence you only allowed to attend the classes/ session / studio visit / tele consultancy / Chat based consultancy on specific time and date as per your original booking and acceptance by the service provider partners.
E- Unlimited session booking for the fitness studio visit / Gym visit / yoga studio visit also restricted as per the terms of wellness card plan, hence if total number of allowed session is 20, it can be used for each day only one time or maximum two time only of each session. As the session can be from 30 min to 1 hr. so extra time after session not allowed at all, in special case it can be allowed for maximum 15 min of additional time, beyond those additional charges of next session get applied.
8. All members are subject to securitny of the account or account audit for uses of the system, platform, studio and other resources as per fair uses policy. If the relevant partner(s) may review Your usage of the membership services or any wellness platform services and we find that your uses or context of use, violates the Code of Conduct or House Rules, than your membership and services will be suspend or terminated at any time without any notice and this is at sole discretion of service providers, our partners or yogpath team.
9. Sharing of Records – Yogpath and wellness platform required members to share the data and record related to health, wellness, steps and several other permission to smoothly run the mobile application, business services and wellness plan for consumer. The record sharing permission is as per the HIPPA rules of record capture, store and share between partners and application for the purpose of batter and smart planning of wellness of the future for user. You are agree with this agreement that as and when required those information can be further shared by our partner for the purpose of research, analysis and management of your account or provide Machine learning to our system to understand your wellness and habits in depth. You are also agree to produce any additional data as and when required by our app or system and no additional consent required for access of such data like family background, family health history, history of pre-medicine , post-medical and para-medical records or any other lifestyle behavioural record include consumption of alcohol, drugs, smoking behaviours or abuse of any medicine in past.
10. Age restriction and Parental control – The wellness platform is safe for kid above 4 years onwards, however sometime video or contents may or may not appropriate for the kid below the age of 15 years, or sometime the action perform by our instructor not directly advisable for the kid or children below prescribed age group. The application uses and services use will be subject to age limit and certain service required parental guideline before activation of the services. You may check and our platform inform you about the same time to time as and when required.
Engagement Plan- Wellness platform provide several health benefits and mind body healing along with happiness and association within the digital community. Our community platform called engagement and this platform capture several data and it is used as a social platform to share, experience and engage between the members ( paid, free, instructor, guide, Personal trainers, Athletes, Sports person, Professional advisor, amateur enthusiasts, students, teachers, parents, grand parents from different culture, language, ethnicity and profession. While using the engage platform you will be advised to be polite and not use platform for the purpose of politics, hate or any inappropriate behaviours.
The engage platform is free for everyone and content sharing is allowed as per the social media policy. In any case group member or members not allowed to be biased and they are free to comments, communicate, engage, perform, share all types of information whatever they find appropriate. These data sharing are not come within the ambit of copyright of the yogpath wellness Private limited, hence any violation of copyright of media, video, music, act, dietary plan, fitness plan, wellness plan is directly subjected to the users only.
Yogpath not take any responsibility of such violation, however there is one abuse help system and if anyone find that the information share is inappropriate or violate the privacy or copyright of any creator, contributor or third party they can write us a written complaint using the link ( link of form for violation of content copyright )
and we will take appropriate action include removal of content, blocking the user or whatever fit as per the digital copyright policy of respective countries.
All content share, post, use or production of content governed by the information technology act of the respective countries and gross terms of agreement of Government of India, Information Technology Act, 2000, rules, guidelines and regulations made thereunder, including Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Terms and Policies, and future amendments if any that come time to time.
Contributors and service partners additional terms
The contributor, business partners and business associates of Yogpath wellness Private Limited working for digital service delivery, live classes delivery, membership service delivery or any other booking services adhere to all the general consumer policy along with additional business user policy that will be keep updated time by time.
The business user policy primarily is extension of agreement between yogpath wellness Private limited and its services provide, this will cover additional payment terms, dispute resolution policy, violation of copyright policy, management of business and ethics management of business.
Apart from these terms additional document that contain agreement basic terms is must be part of the agreement for each and every contributor, service providers.
Type of service providers – As of now yogpath wellness private limited classified all service providers as business partners and further classified them as Contributors, Studio Owners, Training Instructor, Yoga Instructor, Yoga Guru, Yoga Teachers, Yoga Advisor, Diagnostics Business Providers, Therapist, Wellness Coaches, Happiness Coach, Private Trainers, Gym Instructor, Gym Chain, Service provider Group, Content Contributor, Creators, Multimedia partners, Advertisement Partners and others business partners.
Each business partner responsible for there own set of business only and they abide by the commercial terms, services use terms, service delivery terms, ethics of business terms and payment settlement terms.
The cycle and terms of business varies from type of service providers and those will be as per agreement of contract with yogpath wellness private limited.
Who can join as business Partners – anyone with expertise and experience, infrastructure, business and principle willing to extend the business and participate the Largest network of wellness or digital wellness platform will be participate. To become business partner you need to signup with a form for business partners and you will receive username and password to access your application.
Documents for Business Partners – as a business partners your profile will go through a process of screening that include document screening, data screening, business screening, claim and type of business validation and other legal information like gst service, bank account detail etc need to be submitted.
After validation of ownership of the business and validation of the agreement of the services, business receive special partner login to manage the business. ‘
The partner login system helps to settle the further information of payment plan, terms, and cycle of settlements of amounts and point of contact management by business partners.
Execution Terms – once any booking is get allocated to any service providers, he must accept or reject the same within 10 Min of the acceptance, information sharing and validation of inventory.
Data sharing and payment terms
All types of data that is required to complete the process of selling services, booking of services or handling of customer requirements and use of studio, facility centre and fitness center. Those information will also include realtime available slot in studio, equipment’s list, list of all instructors, price list and discounted rate for yogpath wellness members, payment terms and membership activation infrastructure.
The data sharing can be manual using the dashboard system of partner, or if partner centre using any specific software that consume and use our api than data can be shared from those api as well. Booking slot management is important and in certain case only some manual intervention required, otherwise it will be absolutely automated and hence accurate data of free slot is very important part for quality services to consumer.
Infrastructure management is sole responsibility of service provider unless specified by yogpath that wellness platform will provide management and maintenance of infrastructure. So this is imperative that you must capture and update all the information as per real infrastructure. Images and video of the studio and equipment centre, gym and spa need to be original one of the studio only, no picture from internet or any other places or morphed images are allowed while managing the profile of the business partner.
Cancelation Management - Any cancellation of an allocated and/or accepted Service Request by the Service Provider is prohibited except in exceptional circumstances based on a justifiable explanation provided by the Service Provider to the Platform/ relevant Partner. In the case when service provider cancel the booking / session of the pre-booked consumer session without any reason or with reason, there is cause of penalties that need to be paid. The penalties can be in the tune of 2 time to 3 time. If there is any natural disaster or government order like lockdown or emergency , in such case service provider not liable for any cancelation fee penalties however consumer will also not get charged in such cases.
A quick notification using the Dashboard / Partner app of wellness centre is mandatory for such action by service providers as well with valid reason of cancelation and further explanation within the 3hours from the cancelation of the session/ slot for consumer .
Business Partner agrees and confirms that the provision of any Digital Services shall solely be their responsibility and therefore Service Provider hereby agrees that any complaint/s by the Users regarding the delivery of Services will be considered to be a breach of the obligations by the business partner, hereunder for which wellness Platform shall not be responsible in any manner. Business Partner shall solely be liable or responsible for any loss or damage cause or suffered by any of the User pursuant to the receipt of the membership Services.
If there is any serious complaint regarding any Service Provider, Platform/ relevant Partner may, in its sole discretion, immediately terminate any arrangement with such business partner and delist the services with immediate effect. In such case of termination of services there may be a commercial penalties along with lifetime ban on the business partner can be imposed. In such case business partner is having one change to counter the ban and if management get proper justification than 2nd
chance can be provided, subject to exclusive and sole discretion of management team of yogpath wellness private limited.
Branding – All business part agree to abide by the branding guideline of the yogpath wellness private limited, and use of the brand logo and material of marketing and promotion is instructed to partners by management team only. The laid plan of how to use brand and brand material available on request.
Collection of payment – any business partner not allowed to take any kind of money directly or indirectly from the member/ membership scheme or any other services unless specified. Payment collection and renewal of service is directly managed by the wellness platform and hence business partner will get there own margin or cost of services directly by the company and not chargeable from the consumer.
In some case where business partner allowed to take payment directly from the customer, partner need to use our platform and system to collect such payment and handling of the tax etc as per the terms of services only.
Settlement of account – all business partner account is get settled as per specified SAT rules. The SAT ( settlement of account time ) is decided and available for each product on business partner dashboard.
In the case of change the SAT timeframe of settlement, the same is pre-informated at least 10 days in advance to partners
Human resources management
All business partner will manage the sufficient human resources for handling of session/ booking / location / customer care and private training.
Periodically yogpath wellness private limited, provides training to business partner team about the business ethics, management of business account and handling of business services, in such event of training business partner must represent there resources online / offline or wherever those kind of training session conducted. The training session will provide additional mark for partner ability and reconisition of premium service and basic services and accordingly pay out changes as well
Business Partner shall ensure that it has or has procured all rights, title and interest in patents, moral rights, copyrights, trademarks, proprietary marks and/or licensed software, service marks used or placed in relation to the Digital Services provided by the business partner, including but not limited to copyrights on any music, sequence of movements and formats which are part of its services delivery. Business partner indemnify and keep Platform, Company and/or relevant Partner(s) indemnified from any third-party infringement claims in respect of any Services delivery by partner.
Medical Advice agreement –
The wellness Platform and yogpath wellness private limited is not a medical institute, Hospital or medical practicener, so any services used by the consumer or provides by business partner is subject to limited medical claim only. Wellness Platform not advice to use those information and services as a final guideline for your medical condition, so any ailment or change in medical condition after the sessiona/ activity / yoga classes / wellness classes are not remedial in nature and advisable only for the person who want to use the wellness platform to improve there overall well being. Any medical advice they needs is not within the ambit of our services hence we are not responsible for any medical complications arises after such services.
Yogpath wellness Private limited and its digital properties, business associate are working as wellness platform hence the service is not entitled as medical services or hospital services, this is healthcare related services but not exact healthcare services. Hence
(a) You cannot use the wellness Platform for any medical emergency at all, in case of any emergency medical support required within the session or after the session you need to consult your own physician / medical officers or family doctors as per your own arrangement, wellness platform not the party of such services.
The medical support services of wellness platform are for the purpose of save data of medical conditions, test reports, prescriptions for the future use. In the case you are using our medical service like appointment with doctor, or online advice from the doctors, you are doing so at your own risk, and we are only the technology and service providers in such case. You will need to consult doctors or medical professional for such cases, and you might be deal with all the instruction directly unless there is technology support to connect two party (consumer and medical practice) required.
Although the electronic systems we use will incorporate network and software security protocols to protect the privacy and security of health information, security protocols can fail or be breached, causing a breach of privacy of personal health information; so you agree to take the such risk of data safety and agree while storing medical data on our system.
(b) Therapies services – Wellness platform therapies services is meant to provide health benefit while using the therapies, those therapies are classified in different segment and most of them are perform or instructed by the certified therapist as per governing low of countries. Alternative medicine based therapies for wellness is as per the guideline of AYUSH ministries guideline in india and for USA / Europe and other Asian countries therapies are governed by there own terms and law. While taking therapies the medical practitioner will inform you of alternative methods and therapies to the proposed treatment / intervention, their respective benefits, material risks and disadvantages, if any, including that there are other undefined, unanticipated, unexplainable risks / complications that may occur during or after the proposed treatment / intervention, and will answer all questions to regarding the proposed treatment. However, despite best efforts, there can be no assurance about the results or outcome of the proposed treatment / intervention and that there cannot be any guarantee or warranty about the results or outcome of the proposed treatment / intervention.
(c) in many case when medical condition not reasonable enough to accommodate or medical professional find the ailment not get positive result while using wellness platform services, it can advice for the outside services and you need to be in touch with your own medical service providers for such case. There is may be advice available from our side, but you are always advised to take 2nd
opinion while handling your medical condition at any point of time.
Communication and connection
Wellness platform is digital endeavour of yogpath wellness private limited, here you need to be part of the platform to use any of the services. There is many content and data available without any registration of idendity of the consumer, however most of the data only available to registered or identified user in business, general consumer, business partners , government entity, medical practicener or any other category as appropriate. So account registration and validation of your identity is mandatory and first task to avail the services of wellness platform website, mobile app, tele call support, digital magazine , digital content, wellness partner network etc.
We are non financial digital platform, and digital service providers, we store your primary contact, identity information, banking detail, card information ( as per RBI regulation of storage of credit card / debit card information ) and than integrate your account with many fintech platform, other payment platform, other identity platform like adhar based kyc etc as per type of user.
All sensitive information like user name, password and person information like date of birth, address, health history, daily activities are stored in full secure server in Indian data centre and further processed and accessed by consumer and wellness platform and its partner as and when required.
To protect the account , wellness platform advice to keep changing your password in regular frequency and also use our additional 2 factor authentication service to get more secure and agile way to access the wellness platform for your wellness.
All user, business partner or anyone having account on wellness platform is responsible to manage there account on there own responsibility, hence information shared to anyone is prohibited. This is also need your attention that using any other person account information to access the data or use of the services at wellness platform is prohibited and illegal as per information technology act 2000 and further amendments time to time.
Any business , consumer or contributor are not entitled to share, sell, transfer the membership to anyone else name, or transfer or use any other person device to access the data from the system. In such case, if our automated abuse detection system finds the information, your account will get terminated and no further services or membership can be availed even if there is lot of pre-paid amount available to get those services.
1. All payments in respect of the wellness Platform Services shall be made from the appropriate payment channel of the wellness platform only. In the case of any payment made in cash to anyone or any person or make direct payment to business partner not authorised to collect payment is not entertained by the wellness platform in any manner.
Wellness Platform provide more than 10+ type of payment mode for the consumer and business to take the digital edge benefit and make payment with few click only. Those payment are safe and secure and handled as per RBI rules of digital payment collection policy updated time by time.
Wellness Platform built with strong security and safety for payment data information and any kid of virus attack or malware intrusion. However, being an online platform there is certain chance of breaching such data and hence advice to accept those as standard practice. However, wellness platform keep you updated for any such activity with immediate effect.
Historical Data of payment available on your my account dashboard with payment history link and those can be use for the purpose of expanse handling etc. there is many service where you can available GST input, to get the GST input you need to provide valid GST information of your company to get GST input into your business. Such invoice where GST input credit need to available, gst information must be shared before 5th
of the calendar day of the Previous month.
1. Wellness Platform membership is non-refundable membership package and this is work as a prepaid wallet. Hence whatever money added to your account can be used for any purpose within the network of wellness platform however those are not refundable.
In the case when you book any session / slot / booking of fitness or spa session and due to any business partner reason same is get cancelled ,it will be added back to your wallet account to buy again. But refund of the membership not allowed in any case.
If there is certain amount that you want to widrall, you are free to do so by providing the bank information and additional security information within the account.
Membership renewals – The membership renewals is available on monthly frequency or yearly and having option to auto renew the account. However auto renew of the account only possible if any valid payment information available in your account. In the case there is no valid payment information available, you will get notified 10days prior to your renewal date to update the renewal or add the valid payment information.
In case you don’t want to continue the membership or not paid on due date, your account will be auto converted to free membership account and there no payment will be charged unless you upgrade your membership to paid membership.
You can also get earning from different services like inviting users to join our platform, provide other services or special bonus earning for using wellness platform. Those earned amount can be used for the purchase of membership, fitness application, video or any other services within the network. Some service are not allowed to be purchased from those balance, the information of such product available on buy now pages while you are going to purchase the services.
Business Partner Wallet – Business partner wallet balance settlement done as per available SAT time, However there is early settlement mode, there is some additional charges on such settlement applied but these can be available round the clock for all business providers.
With regards to payments, the Platform shall not be responsible for any unauthorised transactions conducted on our Platform using Your payment card or internet banking. The Platform shall not be obligated to refund any money to You in such instances.
Copyright and Intellectual Property rights
Wellness platform of yogpath wellness private limited is a digital system where you will be getting information, services , fitness classes, live classes, yoga instruction to your home, lab testing services or any other available services. All the information available on platform is subject to copyright and owned by respective owners only.
Consumer are not allowed to - defame, abuse, harass, threaten or otherwise violate the legal rights of others; , you are not allowed to publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; you are also not eligible for - copy, republish, post, display, translate, transmit, reproduce or distribute any Content through any medium without obtaining the necessary authorization from the Company;
In case you want to use our system , you declare and confirm that you never be the part of any upload or distribute files that contain software or other material protected by applicable intellectual property laws unless You own or control the rights thereto or have received all necessary consents;
Your account will be blocked if we find that you are - engage in any activity that interferes with or disrupts access to the Platform or the Platform Services or the Content (or the servers and networks which are connected to the Platform), attempt to gain unauthorized access to any portion or feature of the Platform, any other systems or networks connected to the Platform, to any Company server, or to any of the Platform Services offered on or through the Platform, by hacking, password mining or any other illegitimate means;
Users are not allowed to - probe, scan or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Platform or any network connected to the Platform. You may not reverse look-up, trace or seek to trace any information on any other User, of or visitor to, the Platform, to its source, or exploit the Content, Platform or Platform Services or information made available or offered by or through the Platform, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information, other than Your own information, as provided on the Platform;
The Company will have no liability related to any user Content arising under intellectual property rights, libel, privacy, publicity, obscenity or other laws. The Company also disclaims all liability with respect to the misuse, loss, modification or unavailability of any user Content.
The Company will not be liable for any loss that You may incur as a consequence of unauthorized use of Your Account or Account information in connection with the Platform or Platform Services, either with or without your knowledge.
The Company has endeavored to ensure that all the information on the Platform is correct, but the Company neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information, or Platform Services. The Company shall not be responsible for the delay or inability to use the Platform or related functionalities, the provision of or failure to provide functionalities, or for any information, software, functionalities and related graphics obtained through the Platform, or otherwise arising out of the use of the Platform, whether based on contract, tort, negligence, strict liability or otherwise. Further, the Company shall not be held responsible for non-availability of the Platform during periodic maintenance operations or any unplanned suspension of access to the Platform that may occur due to technical reasons or for any reason beyond the Company's control. You understand and agree that any material or data or Content downloaded or otherwise obtained through the Platform is done entirely at Your own discretion and risk, and that You will be solely responsible for any damage to Your computer systems or loss of data that results from the download of such material or data.
Indemnification and Limitation of Liability

In no event shall the Indemnitees be liable to You or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, arising out of or in connection with Your use of or access to the Platform, Platform Services or Content on the Platform. The limitations and exclusions in this Section apply to the maximum extent permitted by applicable laws.
4. If applicable law does not permit the exclusion of certain warranties or the limitation or exclusion of liability, the scope and duration of such warranty exclusions and the extent of the liability of Company shall be the minimum permitted under applicable law.
These terms shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of courts, tribunals.
